GENERAL CONDITIONS OF SALE RESERVED FOR RETAILERS

1. Introduction

These General Conditions of Sale (hereinafter referred to as "General Conditions"), regulate the contractual relations between resellers authorized to make purchases of products and services on the agapp.Softvision.it site (hereinafter referred to as "Resellers") and Softvision of De Ioris Mauro, with registered office in Via dei Paracadutisti 72, 67051 Avezzano (AQ) - Italy, VAT IT02081660660 (hereinafter referred to as "Softvision"). These General Conditions are the only ones that can be applied and replace all other conditions, except for preliminary, express and written exceptions. Softvision may be under an obligation to modify some of these provisions; We therefore advise Resellers to read the General Conditions at each visit of the agenda.easybook.cloud site (hereinafter referred to as "the Site"). The validation of the order will have the value of acceptance of the General Conditions, without any possible recourse. By accessing the Site, Resellers undertake to comply with the General Conditions and the Conditions of Use detailed on it. All commercial relations between Softvision and Resellers are governed exclusively by the following general conditions of sale, excluding any other agreement, unless agreed in writing. The insertion of an online order also implies full acceptance of the following conditions. Any person acting on behalf of the Reseller will represent and commit to Softvision, since the Reseller himself is directly responsible for the confidentiality and use of his personal password.

2. Execution of orders

Orders can be made via the Internet on the agapp.Softvision.it website 24 hours a day, 7 days a week. Upon validation of the order, an e-mail will be sent to the Resellers to confirm their registration.

3. Information on products and services

The images of the products shown on the site are excluded from this contractual context as they are not to be considered perfectly representative of the products and their characteristics (e.g. color, size and accessories shown in the figure). All product information and data sheets are provided by Softvision manufacturers and suppliers. For this reason, we decline all responsibility for inaccuracies or changes in the specifications made by them.

4. Prices

The sales prices indicated on the Site are expressed without VAT and do not include expenses and delivery. The VAT amounts are however clearly indicated in the order summary. Delivery costs are always paid by the Resellers and are invoiced at the end of the order as a supplement to the selected products. Softvision reserves the right to change prices at any time, but undertakes in equal measure to apply the prices indicated on the Site when placing the order.

5. Availability

Reseller orders are satisfied within the limits of the quantity of products available. In the event that only some of the products ordered are not available, the order will be sent to the Reseller as soon as the availability of all the products is satisfied.

6. Method of delivery (for non electronic licenses)

The purchased products will be delivered by Softvision to the shipping address indicated by the Reseller at the time of the order. The times required for delivery vary from 2 to 3 working days. The times required for delivery indicated on our site are indicative and are subject to change. We also remind Resellers that couriers carry out the transport and delivery of products only on weekdays (e.g. for a product ordered on a Saturday afternoon, they will have to be counted, if the product is available) 48/72 hours from Monday morning. Softvision cannot be considered responsible for the consequences due to a possible delay in delivery or to the loss or damage of the order by the courier. In the event that the order has not been delivered on schedule, Softvision can, at the request of the Resellers, investigate the reasons for this delay.


What to do upon delivery:

  • 1. Verify that the package is in good condition.
  • 2. Open the package in front of the courier asking politely to wait for the verification.
  • 3. Check that the product is the one ordered and that it does not show any apparent damage or anomalies. If there are no problems, accept the delivery.
  • 4. In the event of non-compliance or apparent damage, refuse delivery and fill in the acceptance form indicating the problem encountered, return the package to the courier and send an e-mail to the Reseller Service at the e-mail address info@Softvision.it describing what happened in the following 48 hours indicating the order number.

Additional information may possibly be requested from Resellers to definitively validate the purchase. To allow Softvision to contact them in case of need, Resellers are requested to indicate:

  • - a working e-mail address.
  • - a landline number.
  • - a mobile phone number.

7. Payments

Softvision offers its Resellers the following payment options: credit card, paypal, advance bank transfer, payment on delivery. In the event that Resellers choose a credit card as payment, they will be redirected on the website www.paypal.com. Financial information (card number, expiration date, etc.) will be collected with an encrypted protocol by PayPal, without Softvision or third parties having any access to it. Furthermore, this information will never be reused except to issue the relative refunds in case of any returns. In the event that the Retailers choose the bank transfer as payment, the goods will be sent only when they have been credited to the Softvision current account.

8. Right of withdrawal

Sales of products via the Internet are governed by the Legislative Decree n. 185 of 22/05/1999 which regulates the matter of distance contracts, that is carried out outside commercial premises. This legislation establishes the right of withdrawal, or the possibility for the consumer to return the purchased product and to obtain a refund of the expenses incurred. This right is reserved exclusively to natural persons (consumers who purchase goods not for purposes related to their professional, commercial or entrepreneurial activity). For this reason, Resellers who make purchases on this site will not be able in any way to exercise the right of withdrawal.

9. General warranty conditions

The warranty period for tangible goods is 1 (one). During the warranty period, the Softvision Technical Assistance Service will replace the products that show faults that result from manufacturing or material defects. The warranty is limited to the replacement of parts. The Softvision Technical Assistance Service is in no case responsible for further deficiencies or defects. The costs of replacing the products under warranty are borne by the Softvision Technical Assistance Service. Transport costs to the Softvision Technical Assistance Service are to be paid by the Reseller. The Reseller, subject to authorization (see RMA Procedure), must send the product with a detailed explanation of the problem to the Softvision Technical Assistance Service. The guarantee obligation of the Softvision Technical Assistance Service lapses if:

  • a. The Reseller modifies or repairs the hardware or has it modified or repaired by third parties not authorized by the Softvision Technical Assistance Service.
  • b. The Reseller uses the product for purposes other than those normally expected and / or exposes it to conditions other than those of normal use;
  • c. The Reseller uses or maintains what is provided in a wrong, negligent or improper way;
  • d. The original serial number has been removed, damaged or illegible;

Softvision's warranty obligation is not applicable:

  • a. to hardware not supplied by Softvision;
  • b. if the defects are the result of normal wear and tear;
  • c. if the defects result from external causes such as fire or water, lightning, accidents, harassing actions or war;
  • d. if the defects are the result of (or are simulated by) a computer virus;
  • e. if the defects are the result or are related to a connection with products from other manufacturers;
  • f. if it is clear that there is no warranty right, all the costs of technical analysis, repair or replacement will be borne by the Reseller.

10. Obligations of the dealer

  • a. In the purchase of subscription services, the reseller must indicate the "User Name" of the customer for whom the service is intended.
  • b. The retailer is obliged to obtain consent from his customer for the processing of personal data.
  • c. During the procedure for creating an account to access the Softvision Agenda service, the reseller undertakes to enter only the customer data to which he intends to resell the service (end user).

11. Disputes and responsibilities

These General Conditions are governed by Italian laws. The Court of Avezzano (AQ) - Italy will be competent for all disputes resulting from the interpretation and / or execution of these General Conditions. Softvision cannot be held responsible in the event of non-finalization of the contract for reasons of force majeure, total or partial disturbances or strikes by public or private postal services and / or couriers used, floods, fires and / or wars . Softvision cannot also be held responsible for any indirect damages, financial and / or economic losses and expenses that could be caused by the purchase of a product on the Site. The total impossibility of using the products ordered, in particular due to material incompatibilities, cannot be a reason for reimbursement or compensation or for calling into account Softvision's responsibilities. Web links on the Site can refer Resellers to external sites. Softvision is not responsible for the content of these sites, even if they do not comply with the legal and regulatory provisions in force. In cases where Softvision's liability can be proven, it will always be limited to the value of the order.
